Terms & Conditions

Patients

You agree to pay for any services provided by Preologi in accordance with Preologi terms of business.

In making the booking you declare that to the best of your knowledge and belief that the information given on our registration and safety check form is true and complete.

For insured patients

You authorise Preologi to submit claims relating to your/the patient’s treatment to your/the patient’s insurer on your/the patient’s behalf.

If a third party or insurer has agreed to pay your account, you agree to pay any balance outstanding if the third party or insurer does not pay the account in full within 30 days of any treatment or investigations received.

You should check with your insurer that you have adequate cover prior to test and be able to provide an authorisation number prior to appointments.

If you are aware that you have an excess on your policy or that you will have a shortfall on treatment/investigations provided, we would appreciate payment for this the same day and before leaving the premises.

For self-funding patients

All self-funding patients are requested to settle their account either before or on the day of their investigation and/or treatment. Unless otherwise stated full payment is due prior to the test or service being undertaken or those booking online, or booking using promotion codes via advertising campaigns that take place from time to time, full payment is due at the time of the booking or at least 2 days prior to the appointment.

Booking fee

For all Preologi bookings, your payment upfront is composed of 2 components: 1. a non-refundable £25 ‘Cancellation Fee’; 2. the ‘test fee’ which is refundable if the test is cancelled prior to being sent for analyses (if a blood test) or taken place (in the event of imaging).

Cancellation, DNA and refund

For all our tests and pathways, a considerable amount of work and administrative cost is involved in triage, obtaining a preliminary medical opinion and the creation of a medical record. Preologi therefore structures all invoices and quotations will include a non-refundable cancellation fee of £25.

Although the initial stages of registration are free of any obligation to proceed, and free of charge, once a patient has received, accepted and paid for the booking, the medical procedure can be cancelled for any reason, if done so with at least 7 days’ notice, whereupon the test or consultation fee will be refunded in full within 10 working days of the cancellation, however the £25 cancellation fee is deemed NOT to be refundable, as each booking made requires our teams to process the referral, create a medical record and administer the request, including in some cases undertaking medical exposure safety checks.

In making a booking for a test that requires exposure to ionising radiation (such as a Cardiac CT or Calcium score) we are required to ensure the small risks of an x-ray exposure are outweighed by its diagnostic benefits. For this reason all bookings we provisionally make for CT scans are deemed ‘provisional’ and cannot be confirmed, until a full safety questionnaire is completed and returned (either online or paper).

Specific to Galleri test – Cancellations and refunds

Cancellations can be accommodated provided that your blood sample has not yet been dispatched to GRAIL laboratories for analysis.

If you change your mind about proceeding with the Galleri test, please contact Preologi as soon as possible by emailing enquiries@preologi.com so that we can cancel your test before your sample enters the testing process.

Refunds can be provided if your blood sample has not yet been sent to GRAIL laboratories. Once your sample has been dispatched for analysis, the testing process cannot be stopped, and a refund will not be possible.

Preologi is only responsible for refunding patients from whom Preologi has directly received payment. A cancellation fee of £250 will be applicable to cover kit and administrative costs. Preologi will not issue refunds where payment has been collected by a third party. If you purchased your Galleri test via a clinical provider, please contact your provider directly to arrange a refund.

On rare occasions, a repeat blood sample may be required to ensure that the specimen satisfies the requisite quality standards for successful analytical evaluation. Any required repeat procedure shall be performed at no additional charge; however, Preologi does not provide refunds in such circumstances.

Specific to CT patients – Force majeure and equipment breakdowns

There is a small chance of mechanical breakdown on the day which would mean we would need to reschedule your scan at short notice. The company has contingency plans to notify its customers by SMS and email in the event of such unforeseen circumstances and would then endeavour to reschedule your scan as soon as possible. Preologi management can apply discretion in making judgment in all requests for refunds made on cancellations made within the 14 day period – so for example in the event that the booking is made in good faith within the 14 day period prior to the scan date and subsequent safety check reveal a contraindication for scanning, the management would usually apply discretion and refund the test fee.

GDPR and your sensitive personal data

You give Preologi and its clinical partners explicit consent to hold their sensitive information in secure places for the purposes of undertaking tests and providing a medical opinion where required.

As the customer you understand the nature and consequence of your personal data being processed as set out below in the ‘Data Protection Notice’ shown below in relation to your treatment and care.

Data protection notice

Confidentiality. The confidentiality of patient information is of paramount concern to Preologi. To this end, Preologi complies with Data Protection Legislation (Act 1998) and clinical confidentiality guidelines.

Clinical Information. Clinical information will be kept confidential and secure. It will only be disclosed to and received from those involved with your treatment or care, or to their agents and, if applicable, any person OR Organisation who may be responsible for meeting your treatment and expenses, or their agents. Such people or organisations may wish to send details of your treatment or expenses to countries outside of the European Economic Area for processing.

Storage of Records. Preologi contracts with third parties for the storage of part of your electronic clinical record (Data processors) in secure cloud servers. Preologi (your Data controller) has written undertakings from such contracted storage companies and Data processors as to the confidentiality and security in respect of such retention.

Research. Anonymised or aggregated data may be used by Preologi, or disclosed to others for research or statistical purposes and registered with such bodies.

Access to non-clinical information. Access to non-clinical information may be granted by Preologi using the records stored to others (for example medical insurers) on a strictly confidential basis during and for the purpose of the efficient administration of those practices (for example in connection with audit, systems development, managing or improving our services) and for enabling products and services which the associated medical practices or medical insurers consider may be of interest to you to be brought to your attention.

Fraud. Information may be disclosed to others with a view to preventing fraudulent or improper claims. Our main privacy notice can also be viewed online at https://www.preologi.com

Clinical Partner

These Terms & Conditions apply to any clinic (“Partner”, “Clinical Partner” or “you”) joining Preologi Ltd’s (“Preologi”, “the Company”, “we”) Galleri® multi-cancer early detection (MCED) testing program, and summarise, in plain language, obligations drawn from the executed Clinical Partner Agreement, the Service Level Agreement (SLA), and the Preologi Partner Onboarding Guide.

Definitions

“Test” or “Galleri® Test” means the Galleri® multi-cancer early detection blood test supplied by GRAIL, Inc. and distributed by Preologi. “Clinical Activities” means specimen collection, return of specimens to Preologi, and patient communication following results. “Specimen” means a blood sample taken from a patient for the purposes of the Test. “BCT”/“Kit” means the Streck blood collection tube(s) and approved packaging supplied by Preologi. “TRF” means the Test Requisition Form raised by Preologi on the GRAIL platform once a Healthcare Professional orders a Test. “Territory” means the United Kingdom. “Term” means 3 years from the effective date of the Clinical Partner Agreement.

Onboarding

Before any operational activity begins, you must complete registration and submit all required supporting documents (organisation details, licences, GDPR/privacy policy, consent form template, signed Data Processing Agreement, insurance certificates, sample-handling SOPs, and an incident/breach response policy).

You must then review and implement the patient consent, data protection and sample handling standards set out below, ensure all ordering clinicians complete Preologi/GRAIL online training, and ensure all phlebotomists read and sign the Preologi/Galleri blood collection protocol, refreshed annually.

Once onboarding is confirmed complete, you will execute the Clinical Partner Agreement, pay the onboarding fee, and may then begin operations.

Fees & Payment

A one-off onboarding fee of £3,000 plus VAT is payable on execution of the Clinical Partner Agreement, covering starter kits, initial training, marketing materials, and onboarding administration.

Under the executed Clinical Partner Agreement, the Test Fee is £1,000 per Test (no VAT is chargeable). Preologi invoices on receipt of each specimen, payable within 14 days. Preologi may increase this fee annually (1 January) by CPI, and will review pricing if you evidence a third-party offer at 10%+ discount.

Patient Consent & Communication

Valid, documented informed consent is mandatory before any specimen is collected, processed, or shared. You must use only the Preologi/GRAIL-approved Patient Consent Form (alongside your own consent form where applicable), and obtain consent before collecting any biological sample, processing or posting samples, or storing/sharing patient data.

Consent records must include patient identity verification, date/time of consent, a signed copy of the consent form, and scope of consent (testing, data usage, data sharing), retained for the longer of the statutory period or 10 years, and provided to Preologi within 72 hours of request. Patients must be informed of their right to withdraw consent at any time, and withdrawal requests must be honoured promptly.

Results must never be presented as a medical diagnosis without clinician review, and the test’s purpose or limitations must never be misrepresented. Patients with abnormal (cancer-signal-detected) Results must be referred to a qualified clinician within 24 hours; the ordering Healthcare Professional must then contact Preologi within 48 hours to discuss aftercare.

Sample Collection, Handling & Dispatch

Specimens must be drawn only by appropriately trained, licensed phlebotomists who have completed the mandatory GRAIL phlebotomy training. Only Preologi-supplied BCTs and Kit packaging may be used — no substitute tubes or third-party kits are accepted. Every sample must carry a unique identifier and a full, auditable chain of custody, and must be stored and transported at room temperature, away from heat or cold sources.

Samples must be collected Monday to Wednesday only, and dispatched the same day of collection — no later than 12 hours from the blood draw — so that they reach Preologi by 16:00. Any lost, damaged, or compromised sample must be reported to Preologi immediately. The test is intended for at-risk adults (typically 50+); samples from patients aged 21 or under, or who are pregnant, will not be processed, and Partners are solely responsible for assessing patient eligibility and risk factors.

Data Protection & Security

Both parties act as independent data controllers and must comply with UK GDPR, the Data Protection Act 2018, and Preologi’s notified data protection/security standards. You must provide your own transparent privacy notice to patients, implement encryption at rest and in transit, multi-factor authentication and role-based access controls, store data within the UK/EU unless otherwise approved in writing, and appoint a Data Protection Officer where required.

You must not engage subprocessors or subcontract any activity involving personal data without Preologi’s prior written consent, and must complete a security audit and a GDPR compliance self-assessment annually, submitted by 31 January.

Insurance

You must hold professional indemnity and/or medical malpractice insurance of at least £5,000,000 per claim, plus any other coverage required by law or sufficient to cover your obligations under the Agreement. Insurance must be maintained throughout the Term and for at least 6 years after termination or expiry, and certificates provided to Preologi on request.

Confidentiality

You must keep confidential all non-public Preologi/GRAIL information, including customer lists, pricing, marketing strategy, product/clinical information, and financial data, for the Term and at least 5 years after termination (indefinitely for trade secrets and, where required by law, patient data).

Exclusivity & Non-Compete

Preologi is your exclusive provider and sourcing partner for the Galleri Test for the Term (3 years). You may not source, market, or offer the Galleri Test through any other provider without Preologi’s prior written consent. For 12 months after expiry/termination, you may not procure the Galleri Test independently from GRAIL or any alternative distributor.

Prohibited Activities

The following are strictly prohibited and may result in immediate suspension or termination:

  • Collecting samples without valid, documented consent
  • Selling, sharing, or processing patient data without authorisation
  • Misrepresenting test capabilities, limitations, or results
  • Using unapproved collection methods or third-party kits
  • Failing to notify Preologi of a data breach within the required window
  • Presenting results as a medical diagnosis without clinical review
  • Subcontracting program activities without prior written approval
  • Using “GRAIL”/“Galleri” in domain names, trademarks, or unapproved branding

Term, Termination & Effect of Termination

The term is 3 years from the effective date of the Clinical Partner Agreement (the SLA separately runs for an initial 12 months, auto-renewing annually). Preologi may terminate immediately for breach of confidentiality or data protection, fraud, reputational damage, unremedied material breach (14 days’ notice), insolvency, loss of a required licence/registration/insurance, or any Prohibited Activity. Either party may terminate for convenience on 30 days’ written notice, noting exclusivity survives regardless of termination timing.

On termination, you must immediately stop using Preologi/GRAIL materials and branding, cease using the Test, return or destroy unused kits and confidential information, complete any samples already in the care pathway, and cooperate with transitional arrangements to protect patient welfare. Fees, confidentiality, data protection, records retention, exclusivity, indemnification, and limitation of liability all survive termination.

Liability & Indemnity

You are solely responsible for your own regulatory compliance and any breach of consent or data protection obligations by yourself, your staff, or subcontractors, and you indemnify Preologi (and, where applicable, GRAIL) against third-party claims arising from your material breach, negligence/wilful misconduct, or non-compliance with law. Neither party is liable for indirect or consequential losses.

Governing Law & General

This Agreement is governed by the laws of England & Wales. Disputes will be resolved through good-faith negotiation first (30 days) before formal proceedings. All notices must be in writing, by email or by post to the registered address. Nothing in these documents creates a partnership, joint venture, agency, or employment relationship. Amendments are valid only if in writing and signed by both parties’ authorised representatives; Preologi may update program standards on 30 days’ notice, and continued participation constitutes acceptance.

This summary is not a substitute for the executed Clinical Partner Agreement, which together with the SLA and Data Processing Agreement forms the entire agreement between the parties.
